The problem of gender representation in corporate governance can be approached from more than one perspective. The simplest, of all, is the one that starting from statistical data considers it necessary to take affirmative action to promote the presence of women in corporate management bodies, and this is for the stated purpose of implementing the principle of substantive equality. The other perspective is the efficiency-based The Italian legislature regulated the matter about a decade ago, and-as a result of that legislation female representation on the boards of listed companies and publicly controlled companies has grown significantly. The article aims to review the Italian experience and outline possible developments in light of Directive (EU) 2022/2381.
